Welcome to Priority! We're a small team building a productivity app we genuinely want you to love. These Terms explain the agreement between you and Priority LLC ("Priority," "we," "us") when you use our app and website. We've tried to keep them human and readable. By using Priority, you're agreeing to them, so please give them a read.

1. What Priority Does

Priority is an all-in-one productivity platform — a calendar, tasks, habits, Circles (shared habit groups), and integrations with services like Google Calendar and Outlook. We're always improving it, so features may change, come, or go over time.

2. Who Can Use Priority

You need to be at least 13 years old to use Priority. By signing up, you confirm that you are, and that the information you give us is accurate. You're responsible for keeping your account secure — please don't share your login, and let us know right away if you think someone else has accessed your account.

3. Being a Good Neighbor (Acceptable Use)

Priority is a shared space, especially in Circles. Please don't:

If someone breaks these rules, we may remove content or limit or close the account (see Section 9).

4. Your Content

The things you create in Priority — your events, tasks, habits, notes, and the messages and check-ins you share in Circles — belong to you. By putting them in Priority, you give us permission to store, display, and process them only as needed to run the app for you and the people you choose to share with (for example, showing your check-in to others in your Circle). We don't claim ownership of your content, and we don't sell it.

You're responsible for what you post. Please only share content you have the right to share. If you believe something on Priority infringes your copyright, email us at support@joinpriority.app with a description of the work and where it appears, and we'll review it and take it down if appropriate.

5. Payments & Subscriptions

Your calendar is free to use. Some features — currently Habits and Circles — require a paid subscription. Here's how billing works.

Free trial. New accounts get a free trial of the paid features (currently 30 days, starting once you finish setting up your account). You won't be charged during the trial, and you can cancel anytime before it ends at no cost.

Pricing & billing. Paid plans are billed monthly or yearly at the price shown when you subscribe (currently $10/month or $100/year; some early users have a different grandfathered rate). Payments are processed securely by Stripe — we never see or store your full card details. By subscribing, you authorize us, through Stripe, to charge your payment method on a recurring basis.

Automatic renewal. Subscriptions renew automatically at the end of each billing period (each month or year) until you cancel, so your access continues without interruption. We charge the payment method on file for each renewal.

Cancelling. You can cancel anytime from Settings → Billing. When you cancel, you keep the paid features until the end of the period you've already paid for, and you won't be charged again. Cancelling doesn't delete your data — your habits and history stay in your account, and you can export them anytime from Settings → Privacy.

Founding & loyalty pricing. Some early users have a discounted rate that stays locked in for as long as their subscription remains continuously active. If such a subscription is cancelled and later restarted, it renews at the then-current standard price. Certain private-beta members have complimentary lifetime access to the paid features.

Failed payments. If a payment doesn't go through, we'll keep trying for a short while and let you know so you can update your payment method. If it still can't be collected, the subscription may be paused or cancelled and access to the paid features may end — but your data stays safe and exportable.

Refunds. Payments are generally non-refundable, including for partial billing periods, except where a refund is required by law. That said, we're reasonable — if something went wrong, email us at support@joinpriority.app and we'll do our best to make it right. If you have a statutory cancellation or "cooling-off" right where you live (for example in the EU or UK), that right still applies.

Price changes. We may change our prices over time. If we change the price of a plan you're on, we'll give you advance notice by email or in the app, and the change will only take effect on a future billing period — never retroactively.

Taxes. Prices shown may not include applicable taxes; if tax applies where you are, it may be added at checkout.

6. Connecting Other Services

Priority works with third-party services you choose to connect, like Google Calendar, Outlook, and Canvas. Those services have their own terms and privacy policies, and we don't control them. We're not responsible for what they do, and connecting them is your choice — you can disconnect at any time.

7. Our Stuff (Intellectual Property)

Priority's name, logo, design, and software are ours. Please don't copy or reuse them without permission. If you send us feedback or ideas, thank you — we may use them to improve Priority without owing you anything for them.

8. The Honest Disclaimer

We work hard to make Priority reliable, but we're a small team and we can't promise perfection. Priority is provided "as is" and "as available," without warranties of any kind, whether express or implied (including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement). We don't guarantee the service will always be uninterrupted, error-free, or that it won't ever lose data. Please keep your own backups of anything important.

Priority is a productivity tool, not professional advice. It isn't a substitute for medical, mental-health, legal, financial, or other professional guidance.

9. Limits on Liability

To the fullest extent allowed by law, Priority and its team won't be liable for any indirect, incidental, special, or consequential damages, or for lost profits, lost data, or business interruption arising from your use of (or inability to use) Priority.

Our total liability to you for any claim relating to Priority is limited to the greater of (a) the amount you paid us in the three months before the claim, or (b) $100. Some places don't allow certain limitations, so parts of this may not apply to you.

10. Covering Each Other (Indemnification)

If your use of Priority or your content causes a claim against us from someone else — for example, because you broke these Terms or someone else's rights — you agree to cover the reasonable costs and damages we face as a result. We'll let you know if that ever comes up.

11. Ending Things

You can stop using Priority and delete your account any time — just email us and we'll take care of it. We hope you'll stay, but no hard feelings.

We may suspend or close an account if someone is breaking these Terms, putting other users at risk, or if we're required to by law. If we can, we will give you notice first.

12. Resolving Disagreements

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules.

We'd much rather talk than fight, so if you ever have a problem, please email us first and give us a real chance to make it right — most things can be solved with a conversation.

If we can't resolve it that way, you and Priority agree to settle any dispute through binding individual arbitration rather than in court, and to do so on an individual basis only — meaning no class actions or class-wide arbitration. There are two fair exceptions: either of us can still bring a claim in small-claims court if it qualifies, and either of us can ask a court to stop infringement of intellectual property.

You can opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@joinpriority.app with the subject line "Arbitration Opt-Out." Opting out won't affect any other part of these Terms.

13. Changes to These Terms

We may update these Terms as Priority grows. If we make a meaningful change, we'll update the date above and, where it matters, let you know by email or in the app. Continuing to use Priority after that means you're okay with the updated Terms.

14. A Bit of Fine Print

If any part of these Terms turns out to be unenforceable, the rest still applies. If we don't enforce a part of these Terms right away, that doesn't mean we've given it up. These Terms are the whole agreement between you and Priority about the service. We can't be held responsible for delays or failures caused by things outside our reasonable control (like outages, natural disasters, or third-party service failures). We may transfer these Terms if our company is ever acquired or reorganized; your rights stay the same.
